Company Amalgamations

 

Two or more companies may amalgamate, and continue as one company, which may be one of the amalgamating companies, or may be a new company.

For example:


Company A + Company B = Company A; or
Company A + Company B = Company C (new company).

An application for amalgamation proposal (Form 33) must be submitted to the Registrar with the following:

 

  • The amalgamation proposal setting out the terms and condition of the amalgamation;

  • The certificates of director(s) from each amalgamating company;

  • The constitution of the company, if it has one or is adopting one;

  • A signed consent of the directors (Form 2) whose names are stated in the amalgamation proposal and a signed consent of the secretary(ies), if any, whose names are stated in the amalgamation proposal.

  • Where the amalgamated company is a new company, an application for reservation of a company name (Form 6).

The prescribed registration fee for an amalgamation is K450.
